Avemio AG acquires 100 percent of the shares in MoovIT GmbH and MoovIT Software Products GmbH<\/b><\/p>\n

D\u00fcsseldorf, June 29, 2023<\/strong> – Avemio AG (ISIN DE000A2LQ1P6, WKN A2LQ1P) today entered into an agreement to acquire 100% of MoovIT GmbH and MoovIT Software Products GmbH (MSP), Cologne. The acquisition is subject to the approval of the Supervisory Board of Avemio AG. Avemio AG will pay part of the purchase price by way of a capital increase against contributions in kind, making partial use of the Company’s authorized capital and excluding shareholders’ subscription rights. The remaining part of the consideration is paid in cash.<\/p>\n

The new shares will be issued directly to the shareholders of MoovIT and MSP, who will remain in the companies as managing directors for the long term after the transaction. The shares issued are subject to a lock-up agreement.<\/p>\n

MoovIT is a system integrator specializing in Broadcast IT Solutions with a focus on software development and consulting for the optimization and automation of video workflows. The two acquired companies generated sales of more than EUR 6 million in fiscal year 2022.<\/p>\n

With this merger, Avemio AG is taking a major step in its transformation from the largest trading company for professional film and television technology in the German-speaking market to an internationally positioned media technology group.<\/p>\n
