Avemio AG: Qualified Opinion on the 2025 Consolidated Financial Statements and Group Management Report – 2025 Annual Report Published

Mainz-Kastel, September 30, 2026. The Executive Board of Avemio AG today received the qualified audit opinion from the auditor, RGW CONTENT GmbH & Co. KG Wirtschaftsprüfungsgesellschaft, Wiesbaden, for the consolidated financial statements as of December 31, 2025, and the consolidated management report for the 2025 fiscal year. The company published its 2025 annual report today.

The auditor justifies the refusal by raising objections to the accounting treatment based on the going-concern assumption. In the auditor’s assessment, the conditions for this assumption are not met, as no final restructuring plan was available at the time the financial statements were prepared and audited for the subsidiary Teltec AG—which is currently undergoing self-administered insolvency proceedings—and the measures necessary to secure liquidity were not sufficiently guaranteed. Furthermore, the auditor does not consider the continued recognition of Teltec AG’s goodwill in the amount of EUR 9.9 million to be appropriate. He assesses the impact on the consolidated financial statements and the consolidated management report as material and far-reaching.

The Executive Board has prepared the consolidated financial statements on a going-concern basis. In its assessment, the currently available indicators suggest that a viable restructuring solution for Teltec AG is achievable. Until such a solution is implemented, however, there remains, according to the information in the Group Management Report, a significant uncertainty that could raise substantial doubts about the Group’s ability to continue as a going concern.
